Webigo and Rewards Commitment to Community Philanthropy

As part of Webigo and Rewards commitment to community philanthropy, Rewards provides any qualifying nonprofit organization a Rewards licensed website at no charge. For each qualifying nonprofit organization licensee, Rewards has a Nonprofit Website Agreement (“Agreement”) to meet the numerous disclosure requirements set forth by many States regarding the “Charitable Solicitations Act”. Because Rewards has many “for profit” licensees who utilize the website for customer loyalty, customer retention, or employee retention purposes (collectively the “Rewards Business Loyalty System”), In a majority of states, Rewards is deemed a “commercial co-venturer “ and not a “paid solicitor” on behalf of the qualifying nonprofit organizations; a few states require Rewards to register with the appropriate state regulatory agency (typically a consumer protection agency) and approximately ten states have no regulatory guidelines or requirements. There currently is not a national uniform registration process for companies such as Rewards. Rewards has contacted the various State regulatory agencies overseeing consumer protection in all fifty states for the benefit of our members.

Source of Income for Rewards

Rewards receives a fee for (1) referring consumers to our network of affiliated online retail merchants (Rewards uses a portion of the fee to pay members cash back on their purchases), (2) Rewards receives a fee from the sale of Rewards Gold Membership to consumers (Rewards uses a portion of this fee to make a charitable contribution to the Pikes Peak Community Foundation on behalf of the qualifying nonprofit organizations selected by members), (3) Rewards receives a fee from third party lending institutions and insurance companies for referring consumers requesting a quote on auto, home or insurance needs (Rewards uses a portion of this fee to make a charitable contribution to the Pikes Peak Community Foundation on behalf of the qualifying nonprofit organizations selected by members), and (5) Rewards receives a fee from national merchants for certain products and services sold on the Rewards website, and (5) Rewards receives a fee from business organizations (for profit entities) for the use of the Rewards Business Loyalty System.

How Much is Contributed to a Qualifying Nonprofit Organization by Rewards

Licensees who are Qualifying Nonprofits - For each Rewards Gold Membership sold, Rewards will make a $10.00 charitable contribution to the Pikes Peak Community Foundation in c/o of the qualifying nonprofit organization. The member selects the qualifying nonprofit organization at the time their membership is registered on Rewards. In addition to the Rewards Gold Membership proceeds, Rewards also will make a charitable contribution of approximately 10.0% of the gross profit from any commerce transacted on the qualifying nonprofit licensee (the exact amount of the charitable contribution is set forth for each product or service in our Agreement with the licensee). The administrative costs of The Pikes Peak Community Foundation (“Foundation”) shall not be greater than 1.75% of the asset balance.

Licensees who are not Qualifying Nonprofits - For each Rewards Gold Membership sold, Rewards will match the “for profit” entity's charitable contribution up to $2.50. The minimum and maximum charitable contribution is $2.00 and $5.00, respectively, to the Pikes Peak Community Foundation in c/o of the qualifying nonprofit organization. The member selects the qualifying nonprofit organization at the time their membership is registered on Rewards. In addition to the Rewards Gold Membership proceeds, Rewards also will make a royalty payment of approximately 10.0% of the gross profit from any commerce transacted on the “for profit” licensee (the exact amount of the royalty payment is set forth for each product or service in our Agreement with the licensee).

It also covers your rights, obligations and restrictions regarding your use of www.webigo.com.

As part of this Agreement of Usage, we reserve the right to alter the terms of this Agreement of Usage, Definitions, including our Privacy Policy (available on www.webigo.com) from time to time. Permitted Use

Cancellation Conditions

The following are the cancellation conditions for the products and services offered on www.webigo.com:

Rewards Subscriptions – Reward Subscriptions consist of (i) Identity Theft Protection, (ii) Roadside Assistance, (ii) Teladoc and Health Connection Discounts, (iv) Vision and Dental Discount Plans (Not Dental or Vision Insurance), (v) Health Discount Package (Not Health Insurance), (vii) Legal Assistance. Members have the right to cancel any “Rewards Subscription” at any time and Rewards will cease collecting the next month's monthly fee. There are no refunds or pro-rata reimbursement of the periodic charge (monthly) to the Member. Any cancellation during the month is effective on the 1st day of the following month.

Charitable Contributions (Donations) – This consists of individuals or entities making a charitable contribution online directly to the charity. There is no cancellation or refund for any charitable contribution completed online.

Online Products and Services – Members should read the terms and conditions set forth by the third party provider of the product or service purchased online for their return and cancellation policy.

Rewards Gold Membership – There is a one-time annual fee of $30.00 for the Rewards Gold Membership. This membership can be used as a fundraising tool offering discounts, coupons and cash back Rewards from participating merchants. A portion of the proceeds is contributed by Rewards to a qualifying non-profit organization. There is no cancellation or refund available on the Rewards Gold Membership.

Earning Cash Back

Earning back a portion of your purchases as cash back ("Cash Back") is straightforward. Go to Rewards Online Shopping Mall and select a store displayed on www.webigo.com, click the accompanying shopping link to be directed to an affiliated store's website ("Affiliate Store"), and complete a purchase to earn Cash Back on your net purchase amount. Specific Cash Back amounts vary by store and product category and are provided in detail at www.webigo.com. Please note that the net purchase amount excludes taxes, fees, shipping, gift-wrapping, discounts or credits, returns or cancellations, and extended warranties.

Certain Affiliate Stores exclude a limited number of products and purchases from the Cash Back Program. Rewards does its best to minimize and maintain an up-to-date list of exclusions on www.webigo.com. Additionally, to earn Cash Back, you must complete your purchase during the same shopping session you start after clicking on the Rewards link. If you visit other sites before completing your purchase or use coupons not provided by Rewards, your purchase might be associated with a service other than Rewards and you might not earn cash back on your purchase. If you disable 'cookies' on your computer you will not be able to earn Cash Back as cookies are used to authenticate the user and be certain Cash Back is assigned to the Member account.

Earning Other Rewards

Rewards periodically offers other rewards (including monetary bonuses) for sign-up as a member in the Rewards Program, for referring other new Members, or for other specific actions. The terms and conditions accompanying such offers will govern how they are earned and paid. Please note that sign-up and referral bonuses are given for the purpose of attracting brand new Members (typically family and friends) to Rewards.

Receiving Cash Back Payment

To receive payment of accrued Cash Back amounts listed on your “My Cashback Account”, you must establish and maintain an active account with Rewards with the information necessary to process your payment as follows, (i) a valid email address at which you are able to receive email, (ii) a valid postal address at which you are able to receive mail, (iii) your first and last name, and (iv) a password to protect your account. To maintain your “My Cashback Account” as an active account, you must update your information if it changes and have shopped via www.webigo.com or have accrued Cash Back at any time within the last twelve (12) months.

Any member with an accrued Cash Back balance under $25.00 and no shopping activity via www.webigo.com at any time within the last (18) months shall be forfeited by the member and the Cashback funds shall be retained by Rewards and forwarded to the State of Colorado trustee for unclaimed accounts. Any member with an accrued balance over $25.00 that is not an active account (invalid information as described above for an active account) and no shopping activity via www.webigo.com at any time within the last (18) months shall be forfeited by the member and the Cashback funds shall be retained by Rewards and forwarded to the State of Colorado trustee for unclaimed accounts.

Rewards pays its members accrued Cash Back forty-five (45) days after the end of any month if the Cashback balance is greater than $25.00. Rewards pays members in U.S. dollars via check, ACH, Paypal, and sometimes other payment options. Members may select or change their payment options in the My Cashback Account section of www.webigo.com. Each payment represents Cash Back earned and accrued during the prior months based on the schedule below. The minimum payment amount is $25.00. Balances below $25.00 remain in your account for potential payment during the next payment period.

Licensee who is a Qualifying Nonprofits - If a consumer opts to make a donation to a qualifying non-profit organization and the recipient of the donation is also the licensee of the Site; the donation is deposited directly with the qualifying non-profit organization via the donation recipient's merchant process account. The consumer shall receive from the qualifying non-profit organization a tax deduction letter for the amount of the consumer's cash donation via the “Donate” button on the Home Page.

Rewards is not directly involved in the credit card transaction of the donation between any consumer and the qualifying non-profit organization.

How to Shop www.webigo.com

Shopping at www.webigo.com is easy. There are three simple steps to finding the item you are looking for:

1. Browse the Home page, which displays the categories available and links to special offers. Click a category to see the selection of items available within that category. Click the item and you will see a detailed explanation of the item's features. Or, search for specific items by entering a brand name, an item description, or keywords in the "Search" window displayed on every merchandise page. You will be given a list of items that best match your search criteria.
2. When you find something you want to purchase, click "Add to cart." The number of items in your cart will be displayed in the top right corner of the page. You can view or change the contents of your cart at any time by clicking "Shopping Cart."
3. When you're finished shopping, click "Proceed to Check Out." Enter your billing information and click “Complete Order”.

Registration

If you have not registered on www.webigo.com before, you will need to complete the "Sign Up" process on the top right corner of every page.

You will need to enter a few fields like your name, email address, zip code and create a password. Then click on the “Sign Up”" button to create an account.

You will then see a page displaying the contents of your shopping cart.

To complete the checkout process:

1. Click Continue to Checkout.
2. Enter your shipping and payment information and click on the Continue link.
3. Review your information.

After completing your purchase, you will immediately receive an “order number” and you will be sent a confirmation e-mail receipt.

Shipping Address Book

Passage of Title

Sales Tax
